Terms of Use

The following describes the terms of use on which CitySocialising offers you access to our website, platform and services:

Welcome to CitySocialising. We provide our platform, tools, and services (together, the "Platform") to you subject to the terms of service set out in this Terms of Use Agreement (the "Agreement"). Please read the Agreement carefully before registering and using the platform. By registering with CitySocialising, you agree to the terms and conditions of this Agreement (the "Terms"). If you do not agree to the terms please do not register with CitySocialising. A statement of our privacy policy may be found at http://www.citysocialising.com/privacy.

We may update the Agreement at any time. When we do, we will email you to inform you. It is your responsibility to review the most recent version of the Agreement frequently and remain informed about any changes to it. By continuing to use the Platform, you consent to any updates to this Agreement. This version of the Agreement supersedes all earlier versions, and comprises the entire agreement between you and CitySocialising regarding the Platform. By accessing or using the Platform, you accept this Agreement and any modifications that we may make to this Agreement from time to time. If you do not agree to any provision of this Agreement, you should not use the Platform.

1. Platform
The CitySocialising Platform provides our users with a variety of resources to meet new people and facilitate groups of users meeting up and socialising together. (a "Social” or a “CitySocialising group”).

You agree to comply with all applicable domestic and international laws, statutes, ordinances and regulations regarding your use of our Platform, including without limitation your participation in or involvement with any Socials or and your submission of acceptable Public Information (as defined in Section 4 ("Your Information"). You also agree to comply with all applicable laws, statutes, ordinances and regulations regarding the transmission of technical data exported from the UK or the country in which you reside.

2. Minors may not become members
By agreeing to register with CitySocialising or attend a Social organised through the Platform, you represent and warrant that you are at least 18 years old. Additional eligibility requirements for a particular private CitySocialising Group or Social may be set by the owner of the CitySocialising Group or creator of the Social. Either you or CitySocialising may prevent you from registering and attending a Social through the Platform at any time, for any reason, without explanation, effective upon sending written notice to the other party. We have the right, in our sole discretion, to suspend or terminate your use of our Platform and refuse any and all current or future use of all or any portion of our Platform, without notice, upon any breach of this Agreement by you which is brought to CitySocialising’s attention. Upon registering for a Social through CitySocialising it is for your sole, personal use. You may not authorise others to attend a Social on your behalf. You are responsible for logging out if your computer is accessible to others. This prevents unauthorized access.

3. Online content
Opinions, advice, statements, offers, or other information or content made available through CitySocialising, but not directly by CitySocialising, are those of their respective authors, and should not necessarily be relied upon. Such authors are solely responsible for such content. CitySocialising does not guarantee the accuracy, completeness, or usefulness of any information on the service and neither adopts nor endorses nor is responsible for the accuracy or reliability of any opinion, advice, or statement made by parties other than CitySocialising. Under no circumstances will CitySocialising be responsible for any loss or damage resulting from anyone's reliance on information or other content posted on CitySocialising or transmitted to CitySocialising users.

4.Use of Platform

4.1 Control.
You, and not CitySocialising, are entirely responsible for all of your Public Information that you upload, post, email, transmit or otherwise make available via our Platform. We do not control your Public Information or the Public Information of or posted by other users and do not guarantee the accuracy, integrity or quality of Your Information or the Information of or posted by other users. Nor do we endorse any opinions expressed by you or other users. You understand that by using our Platform, you may be exposed to information that is offensive, indecent or objectionable. We do not have any obligation to monitor, nor do we take responsibility for, Your Information, Public Information or information of or posted by other users. You agree that under no circumstances will CitySocialising its directors, officers, shareholders, employees, consultants, agents, advisers, affiliates, subsidiaries or its third-party partners be liable in any way for any information, including, but not limited to, for any errors or omissions in Your Information or the Information of or posted by other users, or for any loss or damage of any kind incurred as a result of the use of Your Information or Information of or posted by other users posted, emailed, transmitted or otherwise made available in connection with our Platform, or for any failure to correct or remove information.

4.2 API License.
Subject to the terms and conditions of this Agreement, CitySocialising grants you a limited, non-exclusive, non-transferable, non-sublicensable license to use any application programming interface ("API") that CitySocialising makes available via the Platform for the sole purpose of integrating or making available Public Information on another web site. CitySocialising reserves all rights not expressly granted under this Agreement.

4.3 Grounds for Removal, Sanction and/or Suspension.
Notwithstanding any other provision of this Agreement, the following types of actions are cause for immediate removal, repeal and/or suspension or termination of your account:
(a) The use of our Platform to (including, without limitation, eligibility requirements):
(i) harm or intimidate another person in any way, including restricting or inhibiting any other user from using our Platform;
(ii) target members of the opposite sex for dating. CitySocialising is all about “platonic” networking and providing a safe and trusted place for users to meet new friends.
(iii) impersonate any person or entity (including CitySocialising, CitySocialising staff and other members), or falsely state or otherwise misrepresent your affiliation with any person, through the use of similar email addresses, nicknames, or creation of false account(s) or any other method or device;
(iv) disguise the origin of any Public Information that is transmitted to any third party;
(v) "stalk" or otherwise harass another;
(vi) advertise merchandise, auctions, services or commercial websites, including offers to trade or charitable solicitations unrelated to the topic or spirit of the CitySocialising Group;
(vii) resell Public Information or access to Public Information;
or (viii) collect or store personal data about other users;

(b) Posting any Public Information or other material:
(i) that is unlawful, harmful, threatening, abusive, harassing, tortious, defamatory, intimidating, vulgar, obscene, profane, libelous, invasive of another's privacy (including the posting of private emails or contact information about another individual), hateful, or racially, ethically or otherwise objectionable, including any Public Information or other material that may be considered hate speech;
(ii) that is obscene, pornographic or adult in nature;
(iii) that you do not have a right to make available under any law or under contractual or fiduciary relationships;
(iv) that infringes any patent, trademark, trade secret, copyright or other proprietary rights of any party or rights of publicity or privacy;
(v) that is unsolicited or unauthorized advertising, promotional materials, or any other form of solicitation (including, but not limited to, "spam," "junk mail," and "chain letters");
(vi) that is inappropriate, posted in bad faith, or contrary to the spirit of any CitySocialising  Group; or
(vii) that uses the Platform primarily as a lead generator or listing service for another website;
(c) Encouraging others to violate this Agreement;
(d) Refusing to follow CitySocialising staff instruction or direction;
(e) Violation (intentional or unintentional) of this Agreement, or of any applicable local, state, national or international law, statute, ordinance or regulation;
(f) Disclose the Private Information of any member of a CitySocialising Group without the permission of that member; or
(g) Transmit money to CitySocialising or any Host through financial accounts that are stolen, fraudulent or otherwise unauthorized.

Also, your posting of other inappropriate actions, Public Information or other materials may also warrant removal and/or suspension from our website. CitySocialising reserves the right to remove any post or other material without warning or further notice.

While we prohibit such conduct and content, you understand and agree that you nonetheless may be exposed to such conduct or content and that you use the Platform and attend CitySocialising Socials at your own risk.

For purposes of this Agreement, "posting" includes uploading, posting, emailing, transmitting or otherwise making available. Without limiting the foregoing, CitySocialising and its designees shall have the right to remove any Public Information or other material that violates this Agreement or is otherwise objectionable.

4.4 Interference with Platform.
You agree that you will not:

(a) upload, post, email, or otherwise transmit any computer routines, files or programs designed to interrupt, destroy or limit the functionality of any computer software or hardware or telecommunications equipment;
(b) interfere with or disrupt our Platform or networks connected to our website or through the use of our Platform, or disobey any requirements, procedures, policies or regulations of networks connected to our website or through the use of our Platform, or otherwise interfere with our Platform in any way, including through the use of JavaScript, active or other coding;
(c) take any action that imposes an unreasonable or disproportionately large load on our infrastructure; or
(d) copy, reproduce, alter, modify, or publicly display any information displayed on our website (except for Your Information), or create derivative works from our website (other than from Your Information), to the extent that such action(s) would constitute copyright infringement or otherwise violate the intellectual property rights of CitySocialising or any other third party, except with the prior written consent of CitySocialising or the appropriate third party.

4.5 General Practices Regarding Use of Platform.
You acknowledge and agree that we may establish general practices and limits concerning the use of our Platform. You agree that we have no responsibility or liability for the storage or the deletion of, or the failure to store or delete, any of Your Information. You acknowledge that we reserve the right to log off users who are inactive for an extended period of time. In addition, you acknowledge that we reserve the right to change these general practices and limits at any time, in our sole discretion, with or without notice.

5. Meeting at Socials

5.1 Through our Platform we provide tools that enable our users to arrange physical meetings (a Socials) at venues that include, but are not limited to, public parks, private homes or private venues (such as bars, clubs, restaurants, coffee shops etc.). We do not supervise these Socials and are not involved in any way with the actions of any individuals at these Socials. As a result, we have no control over the identity or actions of the individuals who are present at these Socials, and we request that our users exercise caution and good judgment when attending these Socials and advise you to read our Safety Tips.

5.2 Role of Host.
You understand that the host of a Social that you have booked onto has the right, in his or her sole discretion, to remove your place. Please be aware that a Host is not CitySocialising's representative or agent, and therefore a host may not enter into contractual relations or obligations on CitySocialising’s behalf.

5.3 Release.
Because we do not supervise or control the Socials or interactions among or between members of CitySocialising groups and other persons or companies, and because we are not involved in any way with physical transportation to or from Socials or with the actions of any individuals at Socials, and because we cannot guarantee the true identity, age, nationality of Platform users, and because we have very limited control, if any, over the quality, safety, morality, legality, truthfulness or accuracy of various aspects of the Platform you agree that you bear all risk and you agree to release us (and our officers, directors, shareholders, agents, employees, affiliates, subsidiaries, and third party partners) and Organizers and their designees from claims, demands, and damages (actual and consequential) of every kind and nature, known and unknown, suspected and unsuspected, disclosed and undisclosed, now and in the future, arising out of or in any way connected with your use of the Platform, your Third Party Transactions, our resolution of any disputes among users, and/or your transportation to or from, attendance at, or the actions of you or other persons at a Social. You further waive any and all rights and benefits otherwise conferred by any statutory or non-statutory law of any jurisdiction that would purport to limit the scope of a release or waiver.

6. Indemnity.
You agree to indemnify and hold us and our officers, directors, shareholders, agents, employees, consultants, affiliates, subsidiaries and third-party partners harmless from any claim or demand, including reasonable legal fees, made by any third party due to or arising out of your breach of your representations and warranties or this Agreement or the documents it incorporates by reference, your use of our Platform, Your Information, your violation of any law, statute, ordinance or regulation or the rights of a third party, or your participation as a Host or in Socials (whether the claim or demand is due to or arising out of your transportation to or from, attendance at, or the actions of you or other users at Socials). Without limiting the foregoing, you, as a Host, agree to indemnify and hold us and our officers, directors, shareholders, agents, employees, consultants, affiliates, subsidiaries and third-party partners harmless from any claim or demand, including reasonable legal fees, made by any CitySocialising member or third party due to or arising out of your actions as a Host, including your use of money paid to you by members of your CitySocialising Group or other CitySocialising users.

7. Membership Charges

7.1 Access to our Platform
and use of selected features of our Platform is free. We charge fees for various premium features and services that we offer, and we will notify you of those charges at the time that we offer you the premium features or services. We may, in our sole discretion, and by notifying you on our website, change this policy and begin charging for access to our website and other features and services, and we may, in our sole discretion, add, remove or change the features and services we offer or the fees (including the amount or the type of fees) we charge at any time. If we introduce a new service, we will establish and notify you of the fees for that service at the launch of the service. If we notify you of new fees or change the fees for an existing service, you agree to pay all fees and charges specified which are inclusive of VAT for your continued use of the applicable service. We are not responsible for any charges or expenses you incur resulting from being billed by us in accordance with these Terms of Service (e.g., overdrawn accounts, exceeding account limits, etc

Upgrading to Premium membership is entirely at CitySocialising’s discretion and CitySocialising reserves the right to refuse to register any application to upgrade for any reason whatsoever.

7.2  Continuous Service Agreement
  CitySocialising operates a Continuous Service Agreement for our Membership Fees. This means that CitySocialising automatically renews your membership when it’s about to expire. Continuous service rates apply to credit/debit card payments only and are applicable both if you join as a member online or we manually process your card details. All amounts are billed in UK sterling at the beginning of each renewal period. Your CitySocialising membership subscription will be automatically extended for successive renewal periods of the same duration as the subscription term originally selected at the then-current membership subscription rate. To change or resign your subscription at any time, please see section titled ‘Termination’ below. If you cancel your premium membership, you'll enjoy premium membership benefits until the end of your then-current subscription term; your subscription won't be renewed after that term expires. However, you won't be eligible for a proratad refund of any portion of the subscription fees paid.

8. Social Charges
(a) In addition to the Premium Membership Fee there may also be additional charges for certain Socials or Services which a Member wishes to apply for. When booking a Social you must pay the full amount for that Social on the internet, or in person in cash. Alternatively if we have your verbal authority to deduct payment from your credit/debit card over the phone it is understood that you have accepted our terms and conditions. We reserve the right to charge an ‘offline’ price for manually booking members on an event if booking is arranged over the phone or email instead of the member booking themselves on the event online. This may be higher than the advertised price. These terms and conditions together with the general information provided on the Platform for each individual Social is the basis of your contract for each Social.
(b) You are responsible for ensuring that you are at the correct meeting venue for the Social at the correct time, as we cannot be liable for any loss or expense suffered by users because of their late arrival. It is your responsibility to ensure that you adhere to all meeting instructions and Regulations provided by the Host or by CitySocialising.
(c) It is possible that circumstances may force Hosts or CitySocialising to make changes to the Social. These changes will fall into two categories:- minor changes and major changes. Minor changes take the form of changes in meeting times, changes to meeting venue, or changes to a similar location. Major changes are those including changes to meeting time by more than 12 hours. If the Social is one that incurs an additional fee (beyond Premium Membership fee) in the event of a major change you can continue with the Social as amended, accept an alternative Social we may offer you or cancel your booking getting a full refund.
(d) Your booking for any Social that incurs an additional fee cannot be exchanged, transferred or resold and will be subject to the Regulations applicable for that Social.

9. Refund Policy
Access to the majority of the Platform and registration to become a CitySocialising user is free.
(a) All Premium Membership Fees are non-refundable. Cancellation and/or termination of membership for any reason does not entitle the user to any refund.
(b) Upon booking your place at a Social that incurs a fee beyond the Premium Membership fee, the relevant fee will be accepted through ProTX.

If less than 6 people have registered to attend a Social that has been organised by CitySocialising Editors alone, not those organised by CitySocialising users themselves, you will be informed up to 4 hours before the Social, and CitySocialising will give you the option to transfer to another Social of the same fee value, or will refund your paid fee in full within 14 days.

If you cannot attend a Social, that has been organised by CitySocialising Editors alone, not those organised by CitySocialising users themselves, that incurs a fee beyond the Premium Membership fee, and only if, you provide CitySocialising with your notice of cancellation more than 7 days before the Social is due to take place, you will be provided with a 100% refund within 14 days.

Alternatively, if you cannot attend a Social that you have booked your place on, that has been organised by CitySocialising Editors alone, not those organised by CitySocialising users themselves, and only if, you provide CitySocialising with your notice of cancellation more than 7 days before the Social is due to take place, subject to places being available, you will have the option to transfer onto another Social to the same fee value or less, with the difference being refunded within 14 days.

If less than 7 days notice of cancellation is provided, no refund will be provided but it will be at CitySocialising’s discretion to transfer you onto an alternative Social to the same fee value or less.

10. Termination
A Member may terminate their membership with CitySocialising at any time:

You can cancel your account by emailing cancel@citysocialising.com and we will terminate your account and delete your profile within 48 hours.

You can cancel your Premium Membership subscription via the Settings area of the site. If your request for termination is received before your next payment is due, your Premium Membership status will last until the end of the original subscription period paid for.

If your request for Premium Membership termination is received before your next payment is due, but you have booked yourself onto a Social that is due to take place after the date that your paid-for subscription period is due to end, you must cancel your place at the Social before cancelling your Premium Membership subscription.

CitySocialising may terminate or suspend the membership of any Member at any time for any reason whatsover.

11. Proprietary Rights
CitySocialising owns and retains other proprietary rights in all services offered by CitySocialising. CitySocialising contains the copyrighted material, trademarks, and other proprietary information of CitySocialising, its licensors and licensees. In addition, other Members may post copyrighted information, which has copyright protection whether or not it is identified as copyrighted. Except for that information which is in the public domain or for which you have been given permission, you will not copy, modify, publish, transmit, distribute, perform, display, or sell any such proprietary information. By posting information or content to any public area of CitySocialising, you automatically grant, and you represent and warrant that you have the right to grant to CitySocialising and other CitySocialising Members an irrevocable, perpetual, non-exclusive, fully-paid, worldwide license to use, copy, perform, display and distribute such information and content and to prepare derivative works of, or incorporate into other works, such information and content, and to grant and authorize sub-licenses of the foregoing.

12. Information supplied by member
CitySocialising will keep confidential all information supplied by you to CitySocialising, and shall use or disclose such information only for the purposes for which such information was collected, or as required by law. A statement of our privacy policy may be found at http://www.citysocialising.com/privacy.

13. Complaints
To resolve a complaint regarding CitySocialising, you should first contact CitySocialising Customer Support via email to contact@citysocialising.com.

14. Disclaimer
CitySocialising is not a matchmaking service. Our aim is to provide a way to meet people for platonic Social events and activities and connect online with other users. CitySocialising does not verify personal information on its participants, such as marital status or any other aspects of their general background. It is up to you to clarify these issues to your own satisfaction.

CitySocialising does not have the ability to independently screen participants registering as members or to attend its organised Socials. By registering to become a user or to attend a Social through CitySocialising, you are agreeing that neither CitySocialising is liable for any damages, direct or indirect, that may in any way arise out of CitySocialising’s Platform. This includes, without limitation, damages arising out of travelling to and from a Social, meeting or communicating with other participants and the actions of other participants in programs sponsored by CitySocialising.

15. Disclaimer of warranty
CitySocialising provides service on an "as is" basis and grants no warranties of any kind, expressed, implied, statutory, in any communication with CitySocialising or its representatives, or otherwise with respect to the service. CitySocialising specifically disclaims any implied warranties of merchantability, fitness for a particular purpose, or non-infringement. CitySocialising does not warrant that your use of CitySocialising will be secure, uninterrupted, always available, or error-free, or will meet your requirements, or that any defects in the service will be corrected. CitySocialising disclaims liability for, and no warranty is made with respect to, connectivity and availability.

Limitation of liability: In no event will CitySocialising be liable to you for any incidental, consequential, or indirect damages (including, but not limited to, damages for loss of data, loss of programs, cost of procurement of substitute services or service interruptions) arising out of the use of or inability to use the Platform, even if CitySocialising or its agents or representatives know or have been advised of the possibility of such damages, or to any person other than you. Notwithstanding anything to the contrary contained herein, CitySocialising's liability to you for any cause whatsoever, and regardless of the form of the action, will at all times be limited to the amount paid, if any, by you to CitySocialising for the service during the term of membership.

CitySocialising does not screen the members registering for services offered by CitySocialising in any way. As a result CitySocialising will not be liable for any damages, direct, indirect, incidental and/or consequential, arising out of communicating and/or meeting with other members of this service, or introduced to you via this service. CitySocialising is not liable for the integrity of statements made by members as to their identity and general background. It is incumbent and advised upon the user to verify any and all information relating to but not limited to this subject. It is advised to check references of any user.

Nothing in this agreement shall exclude or limit our liability to the user for death or personal injury resulting from the negligence of CitySocialising or that of the employees or agents of CitySocialising or any liability which is due to our fraud or any other liability which we are not permitted to exclude or limit as a matter of law.

If any term is held to be invalid, unlawful or unenforceable, it shall not affect the enforceability of any of the remaining terms.
